PUBLIC OFFERfor Paid Listing of a Real Estate Property
(resale of a new-build property / assignment of claim rights)
This document constitutes a public offer in accordance with the Civil Code of Georgia and defines the terms and conditions for the provision of services for the paid listing of a real estate property in the electronic catalogue

Payment for the services shall constitute full and unconditional acceptance (acceptance) of the terms of this Offer.
1. Terms and PartiesAgent — Individual Entrepreneur Evgenia Pereyaslavskaya (I/N : 322753043), providing services for the listing and sale of real estate properties.
Seller — a natural person or legal entity that has accepted this Offer by paying for the Agent’s services.
2. Subject of the Offer2.1. The Agent provides the Seller with services for the exclusive listing and sale of a real estate property under construction, based on the model of assignment of claim rights.
2.2. The listing is carried out in the electronic catalogue

3. Acceptance of the Offer3.1. Acceptance of this Offer shall be deemed the payment for the listing service in the amount of 100 (one hundred) Georgian Lari, based on the Agent’s invoice.
3.2. From the moment the payment is credited, the agreement shall be considered concluded, and the Seller shall be deemed to have accepted all terms of this Offer in full, without any reservations.
4. Property Data (Application)The Seller confirms the accuracy of the data provided to the Agent:
- Residential complex
- Developer
- Apartment number
- Floor and area
- Total sale price of the apartment (USD)
- Price per 1 m² (USD)
- Desired net amount to be received by the Seller
- Payment terms (installments / full payment)
- Existence and amount of outstanding debt to the developer
All fees for international transfers (if the Seller is not located in Batumi) shall be borne by the Seller.
5. Agent’s Commission5.1. The Agent’s commission shall be the difference between the actual sale price and the amount desired by the Seller, as specified in the application.
6. Advance Payment and Notifications6.1. The Seller authorizes the Agent to receive an advance payment (deposit) from the Buyer.
6.2. The Agent shall notify the Seller of the receipt of the advance payment:
- within 24 hours on business days;
- if the advance payment is received on a weekend — on the first business day by the end of the day.
6.3. A notification sent by email or via messengers shall have legal force.
6.4. From the moment the notification of receipt of the advance payment is sent, the Seller shall not be entitled to change the price or payment terms.
7. Change of Terms7.1. Any change in the terms of sale, including price changes, shall be made exclusively for an additional fee of 100 (one hundred) Georgian Lari.
7.2. The amended terms shall enter into force 24 hours after the payment is credited to the Agent’s account.
8. Exclusivity8.1. The Seller grants the Agent the exclusive right to sell the real estate property.
8.2. Independent sale or transfer of the property to third parties during the term of this agreement is prohibited.
9. Liability and Compensation9.1. In the event the Seller refuses to sell the property under the previously agreed terms after notification of receipt of the advance payment, the Seller shall pay the Agent compensation in the amount of USD 1,000 (one thousand US dollars) or the equivalent in Georgian Lari at the exchange rate of the National Bank of Georgia.
9.2. Such compensation shall be paid within 5 (five) calendar days from the date the Agent sends the relevant demand.
9.3. For each day of delay in payment of the compensation, a penalty of 0.2% of the outstanding amount shall accrue for each calendar day, but not exceeding 30% of the total compensation amount.
9.4. Any official communication between the parties must be in writing. Written notices to a party may be delivered to him personally or sent by courier, postal mail or e-mail, as well as by any messenger.
10. Buyer’s Refusal10.1. In the event the Buyer refuses to complete the transaction or fails to appear for closing within the agreed timeframe, the Seller shall be entitled to receive from the Agent 50% of the advance payment.
10.2. The specified amount shall be transferred to the Seller within 5 (five) calendar days.
11. Final Provisions11.1. This Offer shall be governed by the laws of Georgia.
11.2. All disputes shall be resolved in court at the place of registration of the Agent.
11.3. This Offer shall be valid indefinitely and may be amended by the Agent unilaterally by publishing a new version.
